EULA
1. Agreement
This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and Korerium LLC (“Korerium”) governing your use of Korerium software, including MetaClear, TraceGuard, and VaultDrop (collectively, “Software”). By downloading, installing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
2. Grant of License
Subject to your compliance with this EULA, Korerium grants you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the Software on a single macOS device that you own or control. This license is granted for your personal or professional use only.
3. License Key
Your purchase includes a unique license key tied to the email address you used at the time of purchase. This license key is for your personal use only and may not be shared, sold, transferred, or used on behalf of any other individual or organization. Korerium reserves the right to deactivate license keys that are found to be in violation of this agreement.
4. Trial Use
Korerium software may be used on a trial basis for a limited number of uses prior to activation. Trial use is subject to the same terms and restrictions as licensed use. Trial use does not constitute a purchase and does not entitle you to ongoing access after the trial period expires.
5. Updates and Upgrades
Your license entitles you to all updates, bug fixes, and feature additions released within the major version of the Software you purchased, at no additional cost. Major version upgrades may be offered at a discounted upgrade price for existing license holders. You will never be required to pay to continue using the version you purchased.
6. Restrictions
You may not:
- Copy, reproduce, or distribute the Software to any third party
- Sell, rent, lease, sublicense, or otherwise transfer your license or license key
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Remove or alter any copyright, trademark, or proprietary notices contained in the Software
- Use the Software in any manner that violates applicable law or this EULA
7. Ownership and Intellectual Property
The Software is licensed, not sold. Korerium LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. Nothing in this EULA transfers any ownership of the Software to you.
8. Privacy and Data
The Software operates entirely on your local device. It does not collect, transmit, or share any personal data, file content, or usage information. All processing occurs locally. No data of any kind leaves your machine during normal operation of the Software.
9. Disclaimer of Warranties
The Software is provided “as is” without warranty of any kind. To the fullest extent permitted by law, Korerium disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Korerium does not warrant that the Software will be error-free or uninterrupted.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Korerium LLC and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software. In no event shall Korerium’s total liability exceed the amount you paid for the Software.
11. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession.
12. Governing Law
This EULA is governed by the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts located in St. Tammany Parish, Louisiana.
13. Entire Agreement
This EULA, together with our Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Korerium LLC with respect to the Software and supersedes all prior or contemporaneous understandings or agreements.
