These terms govern your use of Korerium’s services. By using our hosting, web design, or related services, you agree to these terms. Please read them carefully.

1. Agreement to Terms

By accessing or using the services provided by Korerium LLC (“Korerium,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

These terms apply to all users of our hosting, web design, domain management, and related services.

2. Services Provided

Korerium provides managed WordPress hosting, web design and development, domain management, SSL and security management, email configuration, and site migration services.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to clients.

3. Account Registration and Responsibility

You must provide accurate, complete, and current information when creating an account with Korerium. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms of Service and our Acceptable Use Policy.

You may not use our services to:

Violate any applicable laws or regulations
Infringe on the intellectual property rights of others
Transmit harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
Distribute malware, viruses, or other malicious code
Engage in phishing, spam, or other deceptive practices
Attempt to gain unauthorized access to our systems or other users’ accounts
Interfere with or disrupt our services or servers

Violation of these terms may result in immediate suspension or termination of your account.

5. Payment Terms

All fees for our services are due in advance unless otherwise agreed upon in writing. Payment is due according to the billing cycle specified in your service agreement.

We accept payment via credit card, ACH transfer, or other methods as agreed upon. All fees are non-refundable except as required by law or as explicitly stated in your service agreement.

Failure to pay fees when due may result in suspension or termination of services. We reserve the right to charge late fees on overdue accounts.

All prices are subject to change with 30 days’ notice to existing clients.

6. Service Level and Uptime

While we strive to maintain high availability and performance, we do not guarantee uninterrupted access to our services. Scheduled maintenance will be performed with advance notice when possible.

We are not liable for any downtime, service interruptions, or data loss resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, network failures, cyberattacks, or third-party service provider issues.

7. Data Backup and Security

We perform regular automated backups of hosted websites as part of our managed hosting service. However, you are responsible for maintaining your own backups of your data and content.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for securing your own devices, passwords, and access credentials.

8. Intellectual Property

You retain all ownership rights to content you upload or create using our services. By using our services, you grant us a limited license to host, store, and display your content as necessary to provide our services.

We retain all ownership rights to our software, infrastructure, designs, and proprietary materials created by Korerium. Custom websites designed by Korerium remain your property upon full payment, but we retain the right to showcase our work in our portfolio unless otherwise agreed.

9. Third-Party Services

Our services may integrate with or rely on third-party services, including but not limited to domain registrars, email providers, payment processors, and content delivery networks. We are not responsible for the performance, availability, or practices of these third-party services.

Your use of third-party services is subject to their respective terms of service and privacy policies.

10. Termination

Either party may terminate services with 30 days’ written notice. We reserve the right to suspend or terminate your account immediately without notice if you violate these Terms of Service, our Acceptable Use Policy, or engage in fraudulent or illegal activity.

Upon termination, you are responsible for retrieving your data and content. We will provide reasonable assistance in migrating your website to another provider, but we are not obligated to maintain your data beyond 30 days after termination.

All outstanding fees become immediately due upon termination.

11. Refund Policy

Hosting fees are billed in advance and are non-refundable. Web design and development work is billed according to project milestones, and payments for completed work are non-refundable.

If you are dissatisfied with our services, please contact us to discuss your concerns. We will work with you to resolve issues whenever possible.

12. Limitation of Liability

To the maximum extent permitted by law, Korerium shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claims arising from our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Korerium, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

14. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

15. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Louisiana, United States, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Louisiana, and judgment on the award may be entered in any court having jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect.

Your continued use of our services after changes become effective constitutes your acceptance of the revised terms.

17. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms of Service, together with our Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and Korerium regarding our services and supersede all prior agreements and understandings.
